1. Agreement
These Terms and Conditions ("Terms") govern your use of STR AI Auto-Host ("the Service"), operated by Nathan Lewis ("we," "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
The Service provides automated software-driven tools for short-term rental property managers, including: automated
guest message handling, review writing assistance, early check-in notifications, cleaning coordination, and related
operational workflows. The Service integrates with third-party platforms authorized by the Client (e.g., Hostaway,
Turno, Airbnb).
3. Eligibility and Accounts
The Service is available to adults 18 years or older operating a legitimate short-term rental property management
business. By using the Service, you represent that you meet this requirement. You are responsible for maintaining
the confidentiality of any credentials, API keys, or access tokens you provide to us, and for all activity under
your account.
4. Client Responsibilities
As a Client, you agree to:
- Provide accurate information about your business, properties, and designated recipient contacts.
- Maintain current consent from your designated recipients (hosts, cleaning staff, maintenance contacts) to receive
operational SMS notifications from the Service.
- Promptly notify us of any recipient who withdraws consent or should no longer receive notifications.
- Use the Service solely for legitimate short-term rental property management purposes.
- Not use the Service to send marketing messages, promotional content, fundraising solicitations, or any content
prohibited by carrier rules (including content related to sex, hate, alcohol, firearms, tobacco, cannabis,
gambling, lending, or age-gated content).
- Comply with all applicable laws, including TCPA, CAN-SPAM, GDPR, CCPA, and carrier-specific 10DLC and A2P rules.
5. Acceptable Use
You may not use the Service to:
- Send unsolicited messages, marketing content, or promotional material.
- Harass, defame, or harm any recipient.
- Violate any third-party platform's terms of service (including Airbnb, VRBO, Hostaway, Twilio, or others we
integrate with).
- Interfere with the operation of the Service or attempt to gain unauthorized access to our systems or data
belonging to other Clients.
- Resell or sublicense the Service without our written permission.
We reserve the right to suspend or terminate access for violations.
6. Fees and Payment
Service fees, billing frequency, and payment terms are set out in the written agreement between you and us. Fees
are non-refundable except as required by law or expressly stated in your agreement. You are responsible for any
third-party costs (such as carrier SMS fees, API fees from your PMS, etc.) that apply to services used on your
behalf.
7. Intellectual Property
We retain all rights to the Service, including our software, systems, documentation, and branding. You retain all
rights to your data, your business information, and the content of messages sent on your behalf. You grant us a
limited license to use that data and content solely to operate the Service for you.
8. Third-Party Services
The Service relies on third-party platforms (Twilio, Anthropic, Hetzner, Hostaway, etc.). We are not responsible
for outages, errors, or changes in those platforms' terms. Your use of any third-party platform is subject to that
platform's own terms and policies.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT
THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI-GENERATED MESSAGE CONTENT IS
PROVIDED AS SUGGESTIONS ONLY; YOU ARE RESPONSIBLE FOR REVIEWING AND APPROVING ANY CONTENT SENT ON YOUR BEHALF.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATING TO THE
SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to indemnify and hold us harmless from any third-party claim arising from: (a) your use of the Service,
(b) your violation of these Terms, (c) your violation of any law or third-party rights, (d) the content of messages
sent on your behalf or content submitted to the Service, or (e) disputes with your recipients, your guests, or any
third party.
12. Termination
You may terminate your use of the Service at any time by notifying us. We may terminate or suspend your access for
material breach of these Terms, for non-payment, or if required by law. Upon termination, your right to use the
Service ceases immediately; sections that by their nature should survive (fees owed, IP, disclaimers, limitation of
liability, indemnification) will survive.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws
principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts
located in United States, California.
14. Changes
We may update these Terms. When we do, we will post the updated version with a new "Last updated" date. Material
changes will be communicated to active Clients via email. Continued use of the Service constitutes acceptance of
the updated Terms.
